License Agreement in simple terms:

Personal Use:

Use the Project Files and the content for personal music projects or non-commercial endeavors.

Learn and study from the Project Files to enhance music production skills and understanding.

Commercial Use:

Use the project files and their content to create and commercially utilize music compositions:

Incorporate the composition into various commercial media, such as advertisements, films, video games, online videos, theater productions, and radio or television broadcasts.

Sell or distribute the composition as a standalone audio track or perform it live in commercial venues.

(Please change the main melodies of a project file to claim ownership of the composition, as multiple users claiming ownership of the same composition could lead to complications)

Restrictions:

Ownership of the content remains with the authors, regardless of the license purchase. Therefore:

You are strictly prohibited from selling, distributing, sublicensing, or transferring the presets, project files or their content to third parties, as well as creating derivative works for resale or distribution.

You cannot claim ownership or authorship of the presets, project files or the musical composition (assuming you haven’t changed the melodies)

In Summary:

Edit the main melodies to use the composition commercially

Don’t resell/redistribute the presets, project files and it’s content (modified or unmodified)

This End User License Agreement is a legal agreement between you and the “Licensor” for the use of the products at ayjinplates.com. By purchasing, downloading, accessing, or using the products, you agree to be bound by the terms and conditions of this Agreement:

Definitions

1.1 “You” or “User” refers to the person, entity, or organization purchasing, downloading, accessing, or using the Presets, Project Files, either directly from the Licensor or through the website ayjinplates.com.

1.2 “Licensor” refers to the owner of the Presets, Project Files, and Content, including their successors or assigns.

1.3 “Agreement” refers to this End User License Agreement, including all terms and conditions herein.

1.4 “Presets” refers to the Serum presets licensed under this Agreement.

1.5 “Project Files” refers to the Ableton project files (e.g., *.als files) licensed under this Agreement.

1.6 “Content” collectively refers to all included sound samples, MIDI files, and other files within the Project Files.

1.7 “Music Productions” refers to original compositions, recordings, or arrangements created by the User utilizing the Presets, the Project Files, and the Content.

Grant of License

2.1 License Grant: The Licensor grants you a non-exclusive, non-transferable license to use the Presets, Project Files, and Content solely for the purpose of creating Music Productions.

2.2 Commercial Use: You may use the Music Productions created with the Presets, the Project Files, and the Content for commercial purposes without obtaining the Licensor’s permission or providing credit.

2.3 Personal Use: Additionally, you are permitted to use the Presets, the Project Files, and the Content for personal purposes, such as personal music projects or non-commercial endeavors.

Ownership and Intellectual Property

3.1 Intellectual Property: The Presets, the Project Files, and the Content are the intellectual property of the Licensor and are protected by copyright laws and international treaties. The Licensor retains all rights, title, and interest in and to the Presets, Project Files, and Content, including all intellectual property rights.

3.2 Reservation of Rights: All rights not expressly granted herein are reserved exclusively by the Licensor.

Restrictions

4.1 You shall not:

(a) Sell, distribute, sublicense, or transfer the Presets, the Project Files, the Content, or any part thereof, to any third party;

(b) Use the Presets, Project Files, or Content to create derivative works or similar products for resale or distribution, including but not limited to selling Music Productions as project files;

Ownership and Commercial Use of Music Productions

5.1 Original Edits: In order to claim ownership and use the Music Productions commercially, you must make substantial edits or modifications to the Project Files and the Content, such as editing the MIDI files, resulting in a unique and original work.

5.2 Commercial Use of Music Productions: Only the Music Productions that have been substantially edited by you to create original works may be used commercially without obtaining the Licensor’s permission or providing credit.

Termination

6.1 Termination: This Agreement is effective until terminated. The Licensor may terminate this Agreement at any time if you fail to comply with any term of this Agreement. Upon termination, you shall cease all use of the Presets, the Project Files, the Content, and the Music Productions.

Governing Law

7.1 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of Germany.

7.2 Jurisdiction
Any disputes arising from or in connection with this Agreement shall be subject to the exclusive jurisdiction of the competent courts in Germany, provided that this does not conflict with mandatory consumer protection regulations.

Entire Agreement

8.1 Entire Agreement: This Agreement constitutes the entire agreement between the User and the Licensor with respect to the subject matter hereof and supersedes all prior or contemporaneous understandings and agreements.

By purchasing, downloading, accessing, or using the Presets, the Project Files, and the Content, you acknowledge that you have read, understood, and agree to be bound by the terms and conditions of this Agreement.
